IPPBX Website and Service Terms

These Website and Service Terms (“Terms”) are entered into between IPPBX, LLC, a Delaware limited liability company (“IPPBX,” “we,” “us,” or “our”), and the business, commercial, nonprofit, governmental, or other organizational customer using the Services (“Customer,” “you,” or “your”).

These Terms apply to the IPPBX website, Customer Portal, cloud telephone services, artificial intelligence features, communications services, business applications, equipment, and related services.

1. Business Use Only

IPPBX Services are offered only for business, commercial, nonprofit, governmental, and organizational use. They are not offered for residential, household, family, or personal consumer use.

The individual registering an account, accepting an order, paying an invoice, signing an agreement, or using the Services represents that:

  • The individual is at least 18 years old
  • The individual has authority to bind the Customer
  • The information provided is accurate and
  • The Customer is obtaining the Services for permitted organizational use.

2. Agreement Structure

The complete agreement may include:

  • A signed Business Services Agreement
  • An Order Form
  • A quote, invoice, or portal checkout
  • A service schedule
  • A numbering or porting authorization
  • An equipment purchase or lease schedule
  • A Business Associate Agreement or other data addendum
  • These Terms
  • The Privacy Policy
  • The Acceptable Use Policy and
  • Other written terms accepted by Customer.

If these documents conflict, the following order generally controls:

  • A specifically signed addendum for the subject it covers
  • The applicable Order Form, quote, invoice, or portal checkout
  • The IPPBX Business Services Agreement
  • These Terms
  • The Acceptable Use Policy, Privacy Policy, and support materials.

No reseller, installer, salesperson, contractor, or support representative may modify these Terms unless the change is approved in writing by an authorized IPPBX executive or manager.

3. Acceptance

Customer accepts these Terms by:

  • Clicking an acceptance checkbox
  • Signing electronically or manually
  • Submitting an order
  • Paying an invoice
  • Creating or activating an account
  • Requesting a telephone number or port
  • Receiving equipment
  • Accessing the Customer Portal or
  • Using any portion of the Services.

If Customer does not agree, Customer must not use the Services.

4. Services

IPPBX Services may include:

  • Cloud PBX and VoIP services
  • Business telephone numbers
  • Extensions, users, departments, queues, ring groups, and routing
  • Desk-phone, mobile, desktop, browser, and softphone calling
  • Voicemail and voicemail-to-email
  • SMS, MMS, fax, and related communications
  • Call recording, transcription, summaries, and analytics
  • AI receptionists and inbound AI calling
  • AI outbound calling
  • AI briefings, assistants, and workflow tools
  • CRM and customer-information features
  • Knowledge bases and staff-assistance tools
  • Marketing, sales, support, scheduling, workforce, finance, document, project, and operational modules
  • Integrations and automation
  • Equipment, installation, migration, configuration, training, and support and
  • Other features identified in an Order Form or account.

Features may vary by package, number type, carrier, jurisdiction, device, integration, customer configuration, and technical availability.

5. Account Activation and Configuration

Customer must provide accurate and complete:

  • Legal and billing information
  • Service addresses
  • E911 addresses
  • Authorized-user information
  • Number and porting information
  • Messaging registration information
  • Payment information
  • Tax information and
  • Compliance information reasonably requested by IPPBX or its providers.

IPPBX may delay activation, calling, messaging, number orders, AI features, porting, or equipment delivery until required information, verification, registration, or payment has been completed.

Customer is responsible for reviewing and approving call flows, greetings, routing, extensions, permissions, AI instructions, automations, business rules, integrations, and testing before production use.

6. Account Security

Customer is responsible for:

  • Protecting usernames, passwords, API keys, SIP credentials, tokens, and administrator access
  • Using reasonable access controls and multifactor authentication where available
  • Limiting administrative access
  • Removing access for former employees and contractors
  • Securing devices, networks, browsers, applications, and integrations
  • Reviewing account activity and charges and
  • Promptly notifying IPPBX of suspected compromise.

Customer is responsible for activity and charges occurring through its account except to the extent caused solely by IPPBX’s willful misconduct.

7. Charges, Billing, and Payment

Customer agrees to pay all charges shown in the applicable Order Form, quote, invoice, checkout, or account, including:

  • Recurring service charges
  • Usage-based charges
  • Telephone-number charges
  • International, premium, toll-free, or high-cost calling
  • Messaging and registration charges
  • Carrier and pass-through charges
  • Equipment, installation, shipping, and support charges
  • Taxes, regulatory fees, assessments, and surcharges
  • Late, collection, chargeback, and returned-payment fees and
  • Other authorized charges.

Unless otherwise stated:

  • Services are prepaid
  • Recurring plans renew automatically
  • Customer authorizes recurring billing to the selected payment method
  • Charges are due on the invoice date
  • Fees are stated in U.S. dollars
  • Customer must maintain valid payment information and
  • Customer must dispute an invoice promptly and before initiating a chargeback.

Taxes, carrier fees, regulatory charges, registration costs, and other pass-through costs may change without advance notice when imposed or changed by a government, carrier, vendor, or industry program.

8. Monthly and Annual Plans

Month-to-Month Plans

Unless an Order Form, equipment lease, or custom commitment states otherwise, standard monthly Services may be canceled at any time.

Cancellation becomes effective at the end of the current prepaid billing period. No prorated refund is provided.

Annual Plans

Annual prepaid charges are nonrefundable.

Customer may cancel renewal of an annual plan, but cancellation during an annual period does not create a refund for unused time.

IPPBX may leave the Services active through the end of the prepaid annual period unless Customer requests earlier termination or IPPBX suspends or terminates the account for cause.

Equipment Commitments

A separate equipment lease or financing agreement may create a non-cancelable 36-month or 60-month payment obligation.

Canceling, downgrading, or porting telephone service does not cancel an equipment lease, remaining lease payments, return obligations, replacement costs, or a personal guaranty.

9. Promotional and 90-Day AI Workforce Access

Certain IPPBX phone plans may include temporary access to additional AI Workforce modules, applications, and automations during an introductory period, including the first 90 days.

Unless otherwise stated:

  • The introductory access begins upon account activation
  • No additional module charge applies during the stated introductory period
  • Features may require configuration, data connection, testing, or training
  • Not every module is appropriate for every customer
  • Some third-party usage, carrier, professional-service, or implementation costs may be excluded
  • The introductory period does not extend the billing cycle for telephone service and
  • Continued use after the introductory period may require selection of an applicable paid package or written extension.

IPPBX may adjust, replace, restrict, or discontinue promotional features, provided that changes do not alter a signed fixed-term commitment without Customer’s agreement.

10. Unlimited and Fair-Use Services

The words “unlimited,” “included,” and “normal business use” describe ordinary use by the Customer’s own organization. They do not permit abusive, automated, fraudulent, wholesale, call-center, carrier-replacement, or resale traffic.

AI Inbound Calling

Plans advertised with unlimited AI inbound calling include ordinary inbound AI conversations for the Customer’s legitimate business operations, subject to:

  • The selected package
  • Technical capacity
  • Carrier restrictions
  • Security protections
  • The Acceptable Use Policy and
  • Reasonable safeguards against fraud and abuse.

AI Outbound Calling

AI outbound calling is provided for normal business use and is subject to fair use.

IPPBX may restrict, throttle, delay, require approval for, charge separately for, or suspend traffic that appears to involve:

  • Mass or bulk dialing
  • Call-center operations
  • Purchased, scraped, random, or unverified lists
  • Repetitive short-duration calls
  • Excessive unanswered attempts
  • Multiple simultaneous automated campaigns
  • Spam-style outreach
  • Traffic pumping
  • Artificial inflation of call volume
  • High-cost or high-risk destinations
  • Resale or use on behalf of unrelated third parties
  • Attempts to bypass account or system limits or
  • Use inconsistent with the Customer’s size, plan, history, and legitimate business operations.

Fair-use controls may be applied without publishing a fixed threshold and may vary based on carrier conditions, fraud risk, call patterns, regulatory risk, system capacity, and account history.

11. Telephone Numbers and Porting

Telephone numbers are administered under carrier, regulatory, and numbering rules.

Customer does not acquire ownership of a telephone number merely by using or paying for it.

IPPBX will use commercially reasonable efforts to:

  • Assign available numbers
  • Maintain active numbers
  • Process valid porting requests and
  • Assist with eligible port-outs after payment and verification requirements are satisfied.

IPPBX does not guarantee:

  • Availability of a requested number
  • Completion of a port by a specific date
  • Acceptance by another carrier
  • Preservation of caller-name information
  • Continued availability of a number following termination or nonpayment or
  • Recovery of a number after it has been released.

Customer must not cancel its prior provider before porting is confirmed unless instructed to do so.

Customer represents that it owns or is authorized to port every number submitted for porting.

12. E911 and Emergency Calling

IPPBX supports E911 where available, but VoIP and cloud-based calling have limitations.

Customer must provide and maintain accurate registered emergency-service location information for every number, extension, user, device, and physical location for which location registration is required.

Phones, mobile applications, desktop applications, browser calling, softphones, adapters, and remote-work devices may be portable. If a user moves or operates from a location different from the registered address, an emergency call may be delayed, misrouted, or sent to responders at the wrong location.

E911 may fail or be limited during:

  • Power outages
  • Internet or broadband failures
  • Wi-Fi or local-network failures
  • Equipment or application failures
  • Browser permission problems
  • Service suspension or nonpayment
  • Incorrect configurations
  • Carrier failures
  • Cyberattacks
  • Congestion
  • Use outside a supported country or
  • Other conditions outside IPPBX’s reasonable control.

Customer must:

  • Keep registered emergency addresses current
  • Inform every user of these limitations
  • Train remote and mobile users
  • Maintain alternate methods of contacting emergency services and
  • Avoid using AI features as a substitute for direct emergency calling.

AI receptionists, AI callers, chat tools, and automations are not emergency-dispatch systems.

13. Customer Equipment and Network

Customer is responsible for providing and maintaining suitable:

  • Internet and broadband service
  • Power
  • Local networks
  • Firewalls
  • Wi-Fi
  • Cabling
  • Compatible devices
  • Browsers and operating systems
  • Security controls and
  • Required third-party subscriptions.

Service quality depends on network, device, power, carrier, and internet conditions that may be outside IPPBX’s control.

IPPBX does not guarantee that customer-owned or third-party equipment will be compatible, secure, unlockable, fully functional, or capable of every feature.

14. Customer Communications and Legal Compliance

Customer controls its:

  • Audiences
  • Call and message lists
  • Lead sources
  • Scripts and prompts
  • Campaign content
  • Timing and frequency
  • Caller identification
  • Consent records
  • Opt-in and opt-out records
  • Do Not Call suppression
  • Recording settings
  • AI instructions and
  • Communication purposes.

Customer is solely responsible for complying with applicable:

  • Telephone Consumer Protection Act requirements
  • Telemarketing Sales Rule requirements
  • Federal and state Do Not Call rules
  • State mini-TCPA and telemarketing laws
  • Calling-hour and quiet-hour rules
  • Caller ID requirements
  • Artificial or prerecorded voice requirements
  • Recording and monitoring laws
  • CAN-SPAM requirements
  • SMS and MMS consent requirements
  • 10DLC and campaign-registration requirements
  • CTIA and carrier policies
  • Healthcare, financial, employment, and privacy laws and
  • International communications laws.

IPPBX does not provide legal advice and does not determine whether a Customer’s list, script, call, message, recording, campaign, or workflow is lawful.

15. Artificial Intelligence Features

AI features may:

  • Misunderstand a speaker
  • Produce inaccurate information
  • Omit relevant information
  • Generate an inappropriate response
  • Misclassify intent
  • Extract information incorrectly
  • Select an incorrect action
  • Fail to recognize an emergency
  • Fail to complete a requested task or
  • Behave differently from one interaction to another.

Customer must test AI features using controlled scenarios before production use and maintain appropriate human supervision.

Customer is responsible for:

  • Instructions and knowledge supplied to the AI
  • Connected data sources
  • Approved tools and actions
  • Escalation paths
  • Financial and operational limits
  • Required disclosures
  • Voice and identity permissions
  • Review of AI output
  • Customer-facing representations and
  • Decisions made based on AI output.

Customer may not use AI features to impersonate a person without authorization, mislead recipients, evade consent requirements, create fraudulent communications, or clone a person’s voice without legally sufficient permission.

16. Recording, Transcription, and Monitoring

Customer is responsible for obtaining every legally required consent and providing every legally required notice for:

  • Call recording
  • Transcription
  • Monitoring
  • Whispering or coaching
  • Analytics
  • AI summaries
  • Sentiment or intent analysis
  • Storage and
  • Disclosure of communications.

Customer must configure recording and access settings appropriately and comply with one-party, all-party, employment, privacy, and industry-specific requirements.

17. Customer Content

Customer retains its rights in Customer Content.

Customer grants IPPBX and its authorized providers a limited, nonexclusive right to host, transmit, reproduce, process, format, analyze, and display Customer Content solely as reasonably necessary to:

  • Provide the Services
  • Perform requested AI processing and automation
  • Complete communications
  • Provide support
  • Protect the Services
  • Prevent fraud and abuse
  • Comply with law and
  • Enforce applicable agreements.

Customer represents that it has all rights, permissions, notices, and lawful bases required to submit and process Customer Content.

18. Privacy and Regulated Data

Use of information is governed by the IPPBX Privacy Policy and any applicable data-processing addendum.

Customer may not submit protected health information, full payment-card data, classified information, or other specially regulated data unless:

  • The selected Service is designed for that data
  • IPPBX has approved the use in writing and
  • The parties have completed any required addendum, including a Business Associate Agreement where applicable.

19. Third-Party Services

The Services may rely on or integrate with:

  • Carriers
  • Cloud platforms
  • AI providers
  • Payment processors
  • App stores
  • CRM platforms
  • Email and messaging providers
  • Equipment manufacturers
  • Internet providers
  • APIs and
  • Other third parties.

Third-party services are subject to their own terms, limitations, privacy practices, availability, fees, and changes.

IPPBX is not responsible for a third party’s services, outage, filtering, security, content, or decision to discontinue or change an integration.

20. Intellectual Property

IPPBX and its licensors retain all rights in:

  • Software
  • Source code
  • Platform architecture
  • Applications
  • Configurations
  • Templates
  • Workflows
  • AI prompts created by IPPBX
  • Documentation
  • APIs
  • Dashboards
  • Firmware
  • Designs
  • Trademarks
  • Trade names
  • Logos and
  • Other intellectual property.

Customer receives a limited, nonexclusive, nontransferable, revocable right to use the Services during the active service period.

Customer may not, except with written permission:

  • Copy or resell the Services
  • Reverse engineer or decompile software
  • Circumvent technical restrictions
  • Scrape the platform
  • Benchmark the Services for publication
  • Create derivative products
  • Share access with unrelated organizations or
  • Use IPPBX intellectual property to create a competing service.

21. No Resale

Customer may not resell, wholesale, sublicense, lend, share, or operate the Services as a carrier, service bureau, call-center platform, or telecommunications provider for unrelated third parties without IPPBX’s prior written approval.

22. Support, Maintenance, and Availability

IPPBX may perform scheduled and emergency:

  • Maintenance
  • Updates
  • Security changes
  • Carrier migrations
  • Software changes
  • Patches
  • Infrastructure changes and
  • Feature modifications.

Service interruptions may result from power, internet, customer networks, carriers, the public telephone network, software, hardware, maintenance, cyberattacks, regulatory action, fraud controls, or events beyond IPPBX’s reasonable control.

Unless a written service-level agreement states otherwise, service credits are discretionary, apply only to future service charges, and are the exclusive remedy for an interruption.

23. Changes to Services and Pricing

IPPBX may prospectively modify:

  • Features
  • Packages
  • Usage rules
  • Rates
  • Fees
  • Surcharges
  • Integrations
  • Supported devices
  • Carriers and
  • Technical requirements.

Month-to-month pricing changes may become effective at the next renewal after reasonable notice.

Pricing for an annual prepaid plan generally remains effective until renewal, except that taxes, regulatory fees, carrier surcharges, third-party charges, registration fees, usage rates, and pass-through costs may change during the annual period.

24. Suspension and Termination

IPPBX may suspend, restrict, block, or terminate all or part of the Services when:

  • Payment is late, fails, is disputed, or is charged back
  • Customer exceeds an approved credit or deposit limit
  • Account information is false or incomplete
  • Customer violates these Terms or the Acceptable Use Policy
  • Use creates legal, regulatory, carrier, fraud, security, spam, network, or emergency-service risk
  • A carrier or government agency requires action
  • IPPBX reasonably suspects unauthorized access
  • Customer interferes with platform operation
  • Customer uses the Services for prohibited high-volume traffic or
  • Suspension is reasonably necessary to protect IPPBX or others.

Where practical and safe, IPPBX may provide notice and an opportunity to correct the issue. Immediate action may be taken when delay could increase risk.

25. Effect of Termination

Upon termination:

  • Customer’s right to use the Services ends
  • Calling, messaging, AI, portal, and application access may be disabled
  • Numbers may become eligible for release
  • Customer remains responsible for accrued charges
  • Equipment obligations continue
  • IPPBX may delete, archive, disable, or restrict access to data according to applicable retention practices and
  • Provisions concerning payment, ownership, data, intellectual property, disclaimers, liability, indemnification, and disputes survive.

Customer should export needed information before termination.

26. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND EQUIPMENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

IPPBX DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • SECURITY
  • ERROR-FREE OPERATION
  • UNINTERRUPTED SERVICE
  • DATA RETENTION
  • CALL COMPLETION
  • MESSAGE DELIVERY
  • AI ACCURACY
  • TRANSCRIPTION ACCURACY
  • NUMBER AVAILABILITY
  • DEVICE COMPATIBILITY AND
  • RESULTS FROM AUTOMATION OR AI FEATURES.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPPBX AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, CARRIERS, VENDORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES:

  • LOST PROFITS OR REVENUE
  • LOST DATA
  • LOST BUSINESS
  • REPUTATIONAL HARM
  • BUSINESS INTERRUPTION
  • MISSED CALLS
  • LOST NUMBERS
  • FAILED PORTS
  • MESSAGE FILTERING
  • AI OR AUTOMATION ERRORS
  • RECORDING OR TRANSCRIPTION ERRORS AND
  • EMERGENCY-CALL DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPPBX’S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE SERVICE FEES PAID TO IPPBX FOR THE AFFECTED SERVICE DURING THE ONE MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Equipment payments, taxes, regulatory fees, usage charges, carrier charges, and third-party charges are excluded from the liability-cap calculation.

28. Customer Indemnification

Customer will defend, indemnify, and hold harmless IPPBX and its owners, officers, employees, affiliates, contractors, carriers, vendors, and providers from claims, fines, penalties, damages, settlements, costs, and reasonable legal fees arising from:

  • Customer’s use of the Services
  • Customer Content
  • Calls, messages, recordings, AI communications, or campaigns
  • Consent and opt-out practices
  • Lead or list sources
  • Number ownership or porting disputes
  • E911 information
  • Customer networks or equipment
  • Violation of law
  • Fraud, negligence, or willful misconduct
  • Breach of these Terms or
  • Actions by Customer’s users.

29. Governing Law and Arbitration

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where federal telecommunications law applies.

Except for collections, unpaid amounts, equipment recovery, injunctive relief, intellectual-property enforcement, or eligible small-claims matters, disputes will be resolved through binding individual arbitration administered by the American Arbitration Association or another recognized arbitration provider if the AAA is unavailable.

Arbitration will take place in Delaware unless IPPBX agrees to remote arbitration or another location.

Class and Jury Waiver

To the maximum extent permitted by law:

  • Claims must be brought individually
  • The parties waive participation in class, collective, consolidated, or private-attorney-general proceedings
  • The parties waive trial by jury.

Claim Deadline

To the maximum extent permitted by law, a Customer claim must be filed within one year after it arose or it is permanently barred.

30. Electronic Communications

Customer agrees that:

  • Electronic signatures are valid
  • Click-through acceptance is enforceable
  • Portal forms and electronic records are originals
  • Notices may be delivered electronically and
  • IPPBX may send notices by email, portal message, invoice, SMS, website posting, or other reasonable means.

Customer must maintain current account and contact information.

31. General Provisions

If a provision is unenforceable, it will be modified only to the extent necessary, and the remaining provisions will continue.

Failure to enforce a provision is not a waiver.

Customer may not assign an account or agreement without IPPBX’s written approval.

IPPBX may use subcontractors and may assign its agreements or receivables in connection with financing, reorganization, merger, acquisition, sale of assets, or operational needs.

IPPBX is not liable for delay or failure caused by events beyond its reasonable control.
